These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, and related services (collectively, the "Services") provided by PocketKnife Apps Inc. ("PocketKnife Apps," "we," "us," or "our"). Please read these Terms carefully. By downloading, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least the age of majority in your jurisdiction, or be the age of 13 with the consent and supervision of a parent or legal guardian, to use the Services. By using the Services, you represent that you meet these requirements and that any information you provide is accurate.
2. License to use the Services
Subject to your compliance with these Terms, PocketKnife Apps grants you a limited, personal, non-exclusive, non-transferable, revocable license to download and use our apps and Services for your own personal, non-commercial use. This license does not transfer any ownership rights to you, and all rights not expressly granted are reserved by us.
3. Acceptable use
You agree not to, and not to permit others to:
- use the Services for any unlawful, harmful, or fraudulent purpose;
- copy, modify, distribute, sell, lease, reverse-engineer, decompile, or attempt to extract the source code of the Services, except to the extent permitted by applicable law;
- interfere with or disrupt the integrity, security, or performance of the Services, or attempt to gain unauthorized access to them;
- remove, obscure, or alter any proprietary notices, or use our branding without permission; or
- use the Services to infringe the rights of any third party.
4. Purchases and subscriptions
Some of our Services may offer paid features, one-time purchases, or auto-renewing subscriptions. Where purchases are made through a third-party platform such as the Apple App Store or Google Play, the platform processes your payment and manages billing, renewals, and cancellations in accordance with its own terms. Prices and availability may change, and except where required by law or by the applicable platform's policies, payments are non-refundable. You are responsible for managing and cancelling your subscriptions through the platform from which you purchased them.
5. Third-party app stores
Our apps are made available through third-party app stores ("App Store Providers"). Your use of an app obtained through an App Store Provider is also subject to that provider's terms of service. You acknowledge that the App Store Provider has no obligation to furnish any maintenance or support for our apps, and is not responsible for addressing any claims relating to the apps. To the extent these Terms conflict with an App Store Provider's terms with respect to your use of an app obtained from that provider, the App Store Provider's terms will govern solely to the extent of the conflict.
6. Intellectual property
The Services, including all software, text, graphics, logos, designs, and other content provided by us, are owned by PocketKnife Apps Inc. or our licensors and are protected by intellectual-property laws. The "PocketKnife Apps" name, logo, and product names are trademarks of PocketKnife Apps Inc. and may not be used without our prior written permission. Any content you create or store within our apps remains yours; we claim no ownership over it.
7. Third-party content
The Services may contain links to, or interoperate with, third-party websites, products, or services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your dealings with them are solely between you and that third party.
8. Disclaimers
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected. You use the Services at your own discretion and risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
9. Limitation of liability
To the fullest extent permitted by applicable law, in no event will PocketKnife Apps Inc., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services. To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months preceding the claim, or (b) CAD $50. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless PocketKnife Apps Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services or your violation of these Terms or applicable law.
11. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Services or other users. Upon termination, the licenses granted to you will end, though provisions that by their nature should survive — including ownership, disclaimers, limitations of liability, and governing law — will continue to apply.
12. Changes to the Services and Terms
We are continually improving our Services and may add, modify, or discontinue features at any time. We may also update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
13. Governing law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of Canada and the province in which PocketKnife Apps Inc. is established, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Canada to resolve any such dispute, except where applicable law grants you the right to bring proceedings in your local courts.
